Terms of Service

Last updated September 2026 · these terms cover the free alpha and, when they activate, the paid tiers.

Who we are

The Julian Utility Company ("JUC", "we") is a U.S. sole proprietorship that publishes one local-first desktop product, currently delivered through separate alpha components, and operates a hosted inference gateway it can use. Contact: support@julianutility.com.

The alpha

The desktop product, its current components, and the hosted service are in free alpha: early software given to a small group of early users to find what breaks. Features may change, degrade, or disappear; data formats may change; outages will happen. Please don't rely on alpha releases for anything irreplaceable, and keep your own backups of anything you care about. In exchange you get a direct line to the person building it.

Accounts

One account per person, created by email magic link. You're responsible for activity under your account and for the keys we mint for your product components — keep them private, and revoke them from your account page if a device leaves your hands. Accounts are for humans; if we detect key sharing, resale of access, or automated hammering of the gateway, we may throttle or close the account.

Acceptable use

• Don't use the service to break the law or anyone's rights.
• Don't resell, sublicense, or commercially redistribute hosted inference access.
• Don't attempt to overload, probe, or circumvent the service's limits and metering.
• Model providers' usage policies apply to what you send through the gateway.

Paid tiers & billing

Until paid tiers activate, everything is free. When they do: prices are as posted on the pricing page; Paddle Acts as Merchant of Record — they process payment, taxes, and receipts, and their checkout terms apply to the transaction. Subscriptions renew until canceled and can be canceled any time; see Refunds for our money-back promise. We may change prices with notice before your next renewal.

The product's source code

The product's source is available under the Utility Source License 1.0: free for personal use, and a paid license is required for commercial use. The license terms shipped with each current component govern the code; these terms govern the hosted service and your account.

Warranty & liability

The service and desktop product are provided "as is" without warranties of any kind, express or implied, during alpha and after. To the maximum extent permitted by law, JUC's total liability for any claim is the greater of what you paid us in the twelve months before the claim or $100. Nothing here limits liability that can't be limited under law.

Termination & changes

You can stop using the service any time; ask us to delete your account and we will. We may suspend accounts that break these terms, and may change or end the alpha with notice on this site. These terms may change; material changes will be announced to account holders by email before they take effect, and the date above will move.

Governing law

These terms are governed by the laws of the United States of America. Disputes will be handled individually — no class actions.
